This Policy governs the ownership, use, licensing, and transfer of websites, domains, software, designs, and related materials created, provided, or managed by Friendly Web Designs, Inc.

By engaging our services, submitting payment, or accessing any deliverables, you acknowledge and agree to be bound by this Policy.

Company Intellectual Property Ownership

What we own and retain rights to

All intellectual property developed, used, or provided by the Company remains the exclusive property of Friendly Web Designs, Inc., unless expressly transferred through a separate written agreement.

Website templates & design systems
Source code, scripts & frameworks
Automation systems & workflows
Hosting & deployment processes
AI-assisted development outputs
Documentation & architecture

No ownership rights are conveyed to the Client beyond the limited license expressly granted under this Policy.

Client-Owned Materials

What you retain ownership of

Clients retain full ownership of materials they independently provide:

Your legal business name and brand
Logos, trademarks, and brand assets you own
Written content, images, video, and media you supply
Third-party assets properly licensed by you

The Company makes no ownership claim over Client-provided materials.

License to Use Deliverables

Your rights to use what we create

Subject to compliance with this Policy and payment obligations, you are granted a limited, non-exclusive, non-transferable, revocable license to use the website and related deliverables solely for your internal business purposes.

License remains valid while:

Services remain active
All fees are paid in full and on time
Account is in good standing

License does NOT permit:

  • • Sell, sublicense, distribute, or reuse the website or code
  • • Represent Company systems as your own work
  • • Deploy deliverables on additional domains without approval

Domain Registration & Control

How we manage your domain

If a domain is purchased or registered through the Company:

The domain may be registered in the Company's name or under Company administrative control to ensure proper management, security, renewal, and billing.

Domain management does not imply ownership transfer until eligibility conditions are met.

12-Month Active Service Requirement

Required for domain & website transfer eligibility

You must maintain twelve (12) consecutive months of active, paid service to qualify for transfer.

Active service means:

  • Continuous hosting and required services
  • All invoices paid on time
  • No unresolved chargebacks, disputes, or policy violations

Any interruption resets the eligibility period.

Transfer After Eligibility

What happens after 12 months

Upon successful completion of the 12-month requirement and written request, we will:

Domain Ownership

Transfer domain ownership to you

Website Copy

Provide a deployed copy of your website

Transfer excludes:

  • • Proprietary internal component library and reusable code
  • • Internal tools, automation, and reusable systems
  • • Licensed or Company-owned intellectual property

Early Termination & Domain Purchase

Options if you leave before 12 months

If you terminate services before completing twelve consecutive months:

Company retains ownership of the domain and website
You may request to purchase the domain at fair market value

Fair Market Value Assessment

  • • Registrar pricing and renewal costs
  • • Comparable domain sales
  • • Third-party valuation tools
  • • Administrative and management costs

Pricing shall be commercially reasonable and non-punitive.

Company Termination Rights

When we may terminate services

The Company reserves the right to terminate services and revoke all licenses without refund if you:

Fail to pay invoices on time
Violate this Policy or service terms
Initiate chargebacks or fraudulent disputes
Engage in illegal, abusive, or unethical conduct
Attempt unauthorized reproduction or transfer
Damage Company reputation or operations

Third-Party Content & Licensing

Stock images, fonts, and plugins

Some deliverables may include third-party components such as stock images, fonts, icons, and plugins. These remain subject to their respective license terms.

Client agrees to comply with all third-party license requirements. Licensing costs may be passed through to the Client where applicable.

Indemnification

Your responsibility to protect us

You agree to indemnify, defend, and hold harmless Friendly Web Designs, Inc., its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, or expenses arising out of your breach of this Policy, unauthorized use of deliverables, or any third-party claim relating to your content or business operations.

Modifications

How we update this policy

We may update or modify this Policy at any time. Material changes will be communicated via email or posted notice on our website. Continued use of services after such notice constitutes acceptance of the revised terms.
